This website and its related services and content (collectively, the "Website") are owned and operated by SAV DL IK and its affiliates and subsidiaries. This Terms of Use Agreement ("Agreement") sets forth your rights and obligations when using the Website. By registering for an eiriQ.com account or using any eiriQ.com Services (as defined below), you agree to be bound by the following terms and conditions (the " Terms of Use "), which govern your use of any websites and related services that reference this Agreement. If you do not agree with any part of the terms, you must stop using the Site immediately. In these Terms of Use, the terms “eiriQ.com”, “us”, “our” or “we” mean the relevant Contracting Party of eiriQ.com, and “ you ”, “ your ”, “ Client ”, “ User ” means the User of eiriQ.com (if registering or using the eiriQ.com Service as an individual) or the company that the User of eiriQ.com works for (if registering or using the eiriQ.com Service as a legal entity) and any of its affiliates. Please note that eiriQ.com offers a number of services, some of which may be governed by separate agreements. When you use certain eiriQ.com products or services, these additional terms may be provided to you manually or digitally and become part of your agreement with us when you use those specific services or log in to the Site. Please read this Agreement carefully before accessing or using the Site and its related Services. By accessing or using the Site, you agree to be legally bound by the terms of this Agreement. eiriQ.com reserves the right, at its sole discretion, to modify, restrict, alter, discontinue, or replace the Site or this Agreement at any time. Modifications will be effective immediately upon posting, and your continued use of the Site thereafter constitutes your acceptance of the modified terms. 1. Creating an Account It's simple. You are responsible for your account, the content you upload to the eiriQ.com service, and the operation of your eiriQ.com store. If you violate the eiriQ.com terms of service, we may terminate your access to the service. If we need to contact you, we will contact you via your primary email address. To access and use the Services, you must register for an eiriQ.com Account (“ Account ”). Creating an Account or purchasing Paid Services may be done either directly on the eiriQ.com Website or through an independent third party vendor authorized to sell eiriQ.com subscriptions for the Account and other Paid Services (“Reseller”) under a separate agreement with eiriQ.com (“Reseller Agreement”). To complete your Account registration, you must provide us with your full legal name, legal address, telephone number, valid email address, and any other information specified as mandatory. eiriQ.com may reject your Account application or cancel an existing Account for any reason at our sole discretion. To open an Account, you must be: (i) 18 years of age or (ii) at least the age of majority in the jurisdiction in which you reside and from which you use the Services . You acknowledge that you are receiving any Services provided by eiriQ.com for business purposes and not for personal, household or family purposes. You acknowledge that eiriQ.com will use the email address you provide when opening your Account or that you update from time to time as your primary method of communicating with you (the “ Primary Email Address ”). You must maintain the primary email address you provide to eiriQ.com, and your primary email address must be suitable for both sending and receiving messages. Your email messages from eiriQ.com can only be authenticated if they originate from your primary email address. You are responsible for the security of your password. eiriQ.com cannot and will not be liable for any loss or damage caused by your failure to keep your account and password secure. We may request additional security measures at any time and reserve the right to adjust these requirements at our sole discretion. Technical support for the Services is provided only to eiriQ.com Users. Questions about the Terms of Use should be directed to eiriQ.com Support. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service without the express written permission of eiriQ.com. You agree not to circumvent, interfere with, or avoid any technical limitations of the Services, use any tools to enable features or functionality that are otherwise disabled in the Services, or decompile, disassemble, or otherwise reverse engineer the Services. You understand that your Content may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. “ Content ” means your Marks, copyrighted content, any products or services you sell through the Services (including descriptions and prices), and any photographs, images, video, graphics, written content, audio, code, information or other data provided or made available by you or your affiliates to eiriQ.com or its affiliates. 2. Account Activation It's simple. Only one person may be the "Store Owner", typically the person registering for the eiriQ.com service. The Store Owner is responsible for the Account, is bound by these Terms of Use, and is responsible for the actions of others who access the Account. If you register on behalf of your employer, your employer is the Store Owner responsible for your Account. The person registering to use the Service by opening an Account will be the contracting party (the “ Store Owner ”) and will be the person authorized to use any relevant Account that we may provide to the Store Owner in connection with the Service. You are responsible for ensuring that the name of the Store Owner (including the legal name of the company that owns the Store, if applicable) is clearly indicated on the Store website. If you are signing up for the Services on behalf of your employer, then the Store Owner will be your employer. If you are signing up for the Services on behalf of your employer, then you must use the email address provided by your employer, and you represent and warrant that you have the authority to bind your employer to our Terms of Use. Your eiriQ.com Store may only be associated with one Account. An Account may have multiple eiriQ.com Stores. “ Store ” means an online store (hosted on eiriQ.com or a third party website), web service or any storefront built on eiriQ.com, or physical retail location(s) associated with an Account. 3. Your responsibilities It's simple. You are responsible for your Store, the products or services you sell, and your relationships with your customers, not us. You acknowledge and agree to make publicly available contact information, refund policy, and order fulfillment times in your eiriQ.com store. You acknowledge and agree that the Services you provide are not a marketplace and any purchase or sale agreement entered into through the Services provided on your site is directly between you and the buyer. You are the official seller of all products and services that you sell through your website at eiriQ.com. You are responsible for the creation and operation of your eiriQ.com Store, your Content, the products and services that you may sell through your Store, and all aspects of the transactions between you and your customer(s). This includes, but is not limited to, authorizing a charge to a customer with respect to a customer purchase, refunds, returns, fulfilling any sales or customer service, fraudulent transactions, required legal disclosures, regulatory compliance, alleged or actual violation of applicable laws (including, without limitation, consumer protection laws in any jurisdiction where you offer products or services for sale), or your breach of these Terms of Service. You represent and warrant that your Store, your Materials, and the products and services you sell through the Services will be true, accurate, and complete and will not violate any applicable laws, regulations, or third party rights. For the avoidance of doubt, eiriQ.com will not be a seller, merchant or registrar and will not be responsible for your Store or products sold to customers through your Store. You are solely responsible for the products or services that you may sell through your Store (including description, price, fees, taxes calculated by you, defects, required legal disclosures, regulatory compliance, offers or advertising content), including compliance with any applicable laws or regulations. You will regularly and independently save and create backup copies of your Content and information processed by you in relation to your Service, including in relation to End Users, User Products and applications and/or Third Party Services that you use. You agree to receive occasional communications and promotional materials from eiriQ.com and its partners via mail, email or other communication channel that you have provided to us (including to your phone number in the form of calls and text messages). If you do not wish to receive such communications and promotional materials, please contact us. You agree to receive messages and materials of an advertising and informational nature from eiriQ.com and our partners in the User Account (Back Office) from time to time and not to hide them using utilities and other software. You grant eiriQ.com the right to use any version of your Store or Storefront (or any portion thereof) in perpetuity, free of charge, for the purpose of marketing or advertising activities of eiriQ.com anywhere in the world, both online and offline, and to make such modifications to it as are reasonably necessary for such purposes, and you waive all claims against eiriQ.com or anyone acting on its behalf in connection with any past, present or future moral rights, copyrights or other similar rights anywhere in the world that you may have in your Store or Storefront in connection with such limited permitted uses. You may not use the eiriQ.com Services for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws), laws applicable to you in the jurisdiction of your client. You will comply with all applicable laws, rules and regulations (including but not limited to obtaining and complying with any license or permit that may be necessary to operate your store or that you may have) in your use of the Service and your performance of your obligations under the Terms of Use. 4. eiriQ.com Rights It's simple eiriQ.com has the right to control who we provide our Services to, and we may change them at any time. We also have the right to refuse or remove Content from any part of the Services, including your Store. We may offer our services to your competitors, but we will never share your confidential information with them in doing so. In the event of a dispute over the ownership of an eiriQ.com Account, we may freeze the eiriQ.com Account or transfer it to the rightful owner, as determined by us. The Services have a variety of features and functionality. Not all Services or features will be available to all Merchants at all times, and we are under no obligation to make any Services or features available in any jurisdiction. Except where prohibited by these Terms of Use or applicable law, we reserve the right to modify the Services, or any part thereof, for any reason, without notice, at any time. eiriQ.com does not pre-screen Materials, and we may, in our sole discretion, refuse or remove any Materials from any portion of your Store or Storefront, including if we determine, in our sole discretion, that the goods or services you offer through the eiriQ.com website or the Materials uploaded or posted to the Services violate our these Terms of Use. Verbal or written abuse of any kind (including threats of abuse or retaliation) towards any eiriQ.com employee, member or officer will result in immediate Account termination. We reserve the right to provide our Services to your competitors and make no promises of exclusivity. You also acknowledge and agree that eiriQ.com employees and contractors may also be customers or merchants of eiriQ.com and that they may compete with you, although they may not use your Confidential Information in doing so. In the event of a dispute regarding the ownership of an Account, we reserve the right to request documentation to determine or verify ownership of the Account. Documentation may include, but is not limited to, a scanned copy of your business license, a government-issued photo ID, the last four digits of the credit card on file, or proof of your status as an employee of an organization. eiriQ.com reserves the right to determine, in its sole discretion, the rightful ownership of the Account and to transfer the Account to the rightful Store Owner. If we are unable to reasonably determine the rightful Store Owner, without prejudice to our other rights and remedies, eiriQ.com reserves the right to temporarily suspend or disable the Account until the dispute is resolved by the parties. 5. Confidentiality It's simple. You and eiriQ.com agree to use each other's Confidential Information only to fulfill the obligations set forth in these Terms of Use. Confidential Information must be protected and respected. Certain portions of the eiriQ.com Services (including certain Third Party Services provided within the eiriQ.com Services, these Terms of Use) require the provision, collection and/or use of certain personal data that can identify an individual. In particular, when providing access to and the right to use the eiriQ.com Services, eiriQ.com and the relevant Third Party Services may collect, access and use certain data regarding Users and End Users, including the actions and navigation of Users and End Users through the eiriQ.com Services and/or User Platforms. We encourage you to regularly review our Privacy Policy and the relevant Third Party Services policies, which describe how such data is collected and used. 6. Limitation of Liability and Indemnification It's simple. We are not responsible for any damages or lawsuits that arise if you violate the law, breach this agreement or go against the rights of a third party. The service is provided on an "as is" and "as available" basis. We provide no warranties and our liability is limited in the event of errors or interruptions. You expressly understand and agree that, to the extent permitted by applicable law, eiriQ.com and its suppliers will not be liable for any direct, indirect, incidental, special, consequential or punitive damages, including without limitation, damages for loss of profits, goodwill, use, data or other intangible losses, arising out of or in connection with the use of or inability to use the Service or these Terms of Service (regardless of the cause of occurrence, including negligence). You agree to indemnify and hold us and (as applicable) our parent, subsidiaries, affiliates, eiriQ.com partners, officers, directors, agents, employees, and suppliers harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of (a) your breach of these Terms of Service or the documents they incorporate by reference (including the AUP); (b) your violation of any law or the rights of a third party; or (c) any aspect of the transaction between you and your Client, including, without limitation, chargebacks, fraudulent transactions, alleged or actual violations of applicable laws (including, without limitation, federal and state consumer protection laws), or your breach of the Terms of Service. You will be liable for any breach of the Terms of Service by your affiliates, agents or subcontractors as if it were your own breach. Your use of the Services is at your own risk. The Services are provided on an "as is" and "as available" basis without any warranties or conditions, express, implied or statutory. eiriQ.com does not warrant that the Services will be uninterrupted, timely, secure or error-free. eiriQ.com does not warrant that the results that may be obtained from the use of the Services will be accurate or reliable. eiriQ.com is not responsible for any of your tax liabilities or obligations related to your use of the eiriQ.com Services. eiriQ.com does not warrant that the quality of any products, services, information, or other material purchased or obtained by you through the Services will meet your expectations, or that any errors in the Services will be corrected. 7. Intellectual Property and Your Materials It's simple. Anything you upload remains yours (if it was yours) and is your responsibility, but eiriQ.com may use and publish what you upload. Anything uploaded to eiriQ.com remains the property and responsibility of its original owner. However, eiriQ.com will receive a license to materials published through our platform, which we may use to operate and promote our Services. We do not claim ownership of the Materials you provide to eiriQ.com, but we do require a license to those Materials. You grant eiriQ.com a non-exclusive, transferable, sublicensable, royalty-free, worldwide right and license to host, use, distribute, disclose, modify, run, copy, store, publicly perform, communicate to the public (including by telecommunications), broadcast, reproduce, make available, display and translate and create derivative works of any Materials that you provide in connection with our Services. We may use our rights under this license to operate, provide and promote the Services and to fulfill our obligations and exercise our rights under the Terms of Service. You represent, warrant and agree that you have all necessary rights in the Materials to grant this license. You irrevocably waive any and all moral rights you may have in the Materials in favor of eiriQ.com and agree that this waiver may be enforced by any person who obtains rights in the Materials through eiriQ.com, including any person to whom eiriQ.com may transfer or grant (including by license or sublicense) any rights in the Materials. If you owned the Materials before you provided them to eiriQ.com, then, despite uploading them to your eiriQ.com Store, they remain yours, subject to any rights or licenses granted in the Terms of Use or elsewhere. You may delete your eiriQ.com Store at any time by deleting your Account. Deleting your eiriQ.com Store does not terminate any rights or licenses granted in the Materials that eiriQ.com requires to exercise any rights or perform any obligations incurred during the Service Term. You agree that eiriQ.com may review and remove any or all Materials submitted to the Services at any time, although eiriQ.com has no obligation to do so. You grant eiriQ.com a non-exclusive, transferable, sublicensable, royalty-free, worldwide right and license to use the names, trademarks, service marks, and logos associated with your Store or Storefront (“Your Trademarks”) to operate, provide, and promote the Services and to perform our obligations and exercise our rights under the Terms of Service. This license will survive any termination of the Terms of Service solely to the extent that eiriQ.com requires a license to exercise any rights or perform any obligations incurred during the Service Term. You agree that you may not use any eiriQ.com trademarks, logos or service marks, whether registered or unregistered, including unless you are authorized to do so by eiriQ.com in writing. You acknowledge and agree that the Terms of Service do not grant you any rights to implement eiriQ.com patents. 8. Fee for using services It's simple. Some of our services are paid. We will inform you of their cost in advance. Our prices are in US dollars before taxes, unless otherwise stated. If necessary, our partners may request and receive payment and related information from payment service providers and banks. If you are a reseller user, payment and management of the paid service can be done directly by the reseller. Certain eiriQ.com Services may be subject to certain fees, as determined by eiriQ.com in its sole discretion (“Paid Services” and “Fees,” respectively). eiriQ.com will notify you of the Fee you will be required to pay directly to eiriQ.com for Paid Services purchased from eiriQ.com. If you wish to receive or use Paid Services, you will be required to pay the stated Fee in advance. eiriQ.com reserves the right to change the Fee at any time in its sole discretion. eiriQ.com will provide you or your Reseller with notice of the change if the change affects your existing subscriptions. If you have received a discount or participated in a promotion, either from eiriQ.com or the Reseller, then eiriQ.com or the Reseller, respectively, has the right, at the end of the applicable discount period, to automatically and without notice renew your subscription to the applicable eiriQ.com Service(s) at the applicable Fee in full. All Fees paid directly to eiriQ.com will be in United States Dollars, unless otherwise expressly stated in writing by eiriQ.com. Unless otherwise required by law (and stated in writing by eiriQ.com), Fees are exclusive of all taxes (including value added tax, sales tax, goods and services tax, etc.), duties and charges imposed by taxing authorities (“Taxes”), and you will be responsible for paying all applicable Taxes associated with your use of the eiriQ.com Services or with your payments or purchases. If eiriQ.com is required to collect and pay Taxes with respect to Fees you pay, regardless of whether you have previously been assessed and charged the applicable Taxes for any prior transactions, such Taxes may be added to the Fee and will be reflected on the Invoice for the relevant transaction. We encourage you to check for any additional fees or charges that may be charged by third parties in connection with the purchase or renewal of Paid Services (such as fees for making international payments, fees for currency exchange, or fees charged by banks and credit card companies). eiriQ.com is not responsible for such additional fees or charges. If you purchase Paid Services directly from eiriQ.com, by registering and providing the information required to receive the Paid Services, you also authorize eiriQ.com (either directly or through its affiliates, subsidiaries, or third parties) to charge and debit (or otherwise charge, provide a refund, or perform other billing activities) the fees and service charges to our payment provider or the bank account you designate, and to request information that eiriQ.com or its affiliates deem necessary to verify the bank account you designate and the financial information you provide to ensure timely payment, including to obtain current payment information from your payment provider, credit card provider, or bank account provider (such as current card expiration date or card number, which may be provided by your credit card company). If you are a Reseller User and pay to the Reseller and not directly to eiriQ.com. eiriQ.com and/or its affiliates will issue invoices or return labels for Fees or refunds made to or by eiriQ.com ( “Invoices”). Each invoice will be issued electronically based on the country specified in your billing address and will be posted to your User Account and/or sent via email. In order to issue an invoice, you may be required to provide certain Personal Information (as that term is defined in the Privacy Policy) in order to comply with local laws. Please note that the invoice posted to your User Account may not comply with local laws, in which case you will be able to use it solely for pro forma financial reporting purposes. If we detect a payment refusal, a dispute with your credit card payment, or any other failure by you to debit funds for a Fee due on your User Account (“Payment Refusal”), such action will be considered a breach of your payment obligations under these Terms of Use, and your access to the eiriQ.com Services may be automatically disabled or terminated. In the event of a Payment Reversal, your User Account may be blocked without the ability to re-purchase access to or re-use such Account, and the data contained in your User Account, including domains, applications and Third Party Services, may be cancelled or subject to a Loss of Functionality procedure. eiriQ.com Services will not be renewed until you have entered into a new subscription for the relevant Services and paid the applicable Fees in full, including fees and costs incurred by eiriQ.com and/or Third Party Services in connection with each Chargeback (including Fees for eiriQ.com Services provided prior to the Chargeback and any processing and transaction costs incurred by the payment processor). If you have any questions or concerns regarding a payment made to eiriQ.com , we encourage you to contact our support team before making a Chargeback or Chargeback in order to prevent eiriQ.com Services from being disconnected and your User Account from being blocked , and to avoid an unjustified or erroneous Chargeback that could result in you being charged the Fee due in relation to such Chargeback, along with the re-charge due in relation to the eiriQ.com Services you purchased that you have charged back. We reserve the right to dispute a Chargeback, including by providing your credit card company or financial institution with information and documentation demonstrating that the User who initiated the Chargeback actually authorized the transaction and used the services provided after it was processed. 9. Cancellation It's simple You may cancel your account or services at any time. Once we process your cancellation request, we will not charge you for your subscription. Cancellation of a paid reseller service is subject to the terms agreed upon between you and the reseller. If you breach these terms or fail to make a payment on time, we may suspend or terminate your Account. In accordance with the instructions set out on the eiriQ.com Services, you may at any time stop using your User Account and/or the eiriQ.com Services and request to cancel them. The date and time of such cancellation shall be the date and time on which you completed the cancellation process on the eiriQ.com Services, and the date of cancellation of Paid Services shall be the end of the subscription period for the relevant Paid Services. Notwithstanding the foregoing, any Paid Service (including Paid Service Renewals) purchased from a Reseller shall be subject to the cancellation terms agreed upon between you and your Reseller. Notwithstanding anything to the contrary in the foregoing, with respect to subscriptions for Renewal of paid services, such subscriptions will be terminated only upon expiration of the relevant period for which you have already paid. Please note that since the cancellation process may take several days, in order to avoid another automatic renewal and debiting of the Fee, the request for cancellation must be submitted no later than 14 (fourteen) days before the end of the current subscription period. For information on canceling Paid Services purchased from a Reseller, please contact your Reseller. Cancellation by eiriQ.com. eiriQ.com Terms and/or failure to pay any Fees due shall entitle eiriQ.com to suspend (until full payment is received) or terminate your User Account and User Platform (or certain components or features thereof) and the provision to you of related eiriQ.com Services (e.g. Paid Services) or Third Party Services. If you open a User Account through a Reseller or purchase Paid Services from a Reseller, eiriQ.com has the right to suspend, terminate or block access to your User Account and the User Platform (or certain features thereof) and to provide you with any related eiriQ.com Services or Third Party Services, and also in the following cases: (a) Reseller requests such action from eiriQ.com; or (b) Reseller fails to pay eiriQ.com any amounts due to eiriQ.com under the Reseller Agreement. You consent to these rights to suspend and terminate the Paid Service, and acknowledge and agree that eiriQ.com will have no liability to you with respect to any such suspension or termination of service. Your right of recourse with respect to any such suspension or termination shall be solely against the Reseller. Cancellation of your User Account, the eiriQ.com Services or any Third Party Services associated with your User Account (whether requested by you or at eiriQ.com’s sole discretion) may result in the loss of certain content, components or functionality of your User Account, including User Content, End User Data or other usage data stored therein, including the reservation or registration of a domain name that was part of the applicable Services (“Loss of Functionality”). eiriQ.com assumes no responsibility for Loss of Functionality or for maintaining or backing up your User Account, User Content or End User Data. Please also note that reactivation of your User Account and/or the eiriQ.com Services following cancellation may be subject to additional Fees from eiriQ.com (at its sole discretion). Upon termination of your User Account or User Platform, eiriQ.com reserves the right to delete all data as a matter of routine. Once your User Account or User Platform is terminated, the data cannot be restored. 10. Third party services It's simple. Our services allow you to receive various services and tools from third parties that are not affiliated with us. Since we act solely as an intermediary platform between you and the relevant persons, you will be solely responsible for their engagement. We may remove the services at any time, which may affect the operation of your website, user account and overall use of the eiriQ.com Services. The eiriQ.com Services allow you to engage and obtain certain third party services, products and tools to enhance your User Platform and the eiriQ.com Services generally, including, without limitation, domain registrars from which you may purchase a domain name for your User Website, third party applications and widgets offered through the eiriQ.com Website (including the eiriQ.com App Market and the eiriQ.com Theme Market), Third Party Licensed Content, media distribution services, e-commerce payment service providers, physical goods sellers, third party designers who may assist you in using the User Platform, etc. (collectively, “Third Party Services”). You acknowledge and agree that, regardless of the form in which Third Party Services are offered to you (whether bundled or additionally included in certain eiriQ.com Services, separately by eiriQ.com or persons certified and authorized by eiriQ.com, or otherwise in any section of the eiriQ.com Services), eiriQ.com acts solely as a platform intermediary between you and the relevant Third Party Services, does not endorse the relevant Third Party Services in any way, and does not bear any responsibility or liability in connection with the Third Party Services. eiriQ.com has no control over, and is not responsible for, your interactions and transactions with the Third Party Services. You agree that such services may require you to pay additional fees to eiriQ.com and/or the providers of such third party Services. Your use of Third Party Services is entirely at your own risk and responsibility and you may be subject to the legal and financial terms governing Third Party Services, which you are advised to review before engaging the relevant Third Party Services. eiriQ.com may, in its sole discretion, suspend, block or remove Third Party Services from your User Account, User Platform(s) and/or eiriQ.com Services at any time – whether or not the relevant Third Party Services are embedded in or form part of your User Account and/or User Platform(s) at the time – without incurring any liability to you or End Users, but we hope that this will not happen. If you use third-party services, tools, code, algorithms, databases, products, software or goods when using our Services, you represent that you are acting in accordance with their terms of use. For example, if you use YouTube when using the Services, you must comply with YouTube 's applicable terms and privacy policy as amended on the date of use of such services. 11.
